TERMS OF USE
The following Terms and Conditions ("Agreement") are entered into by and between you ("Member," "Client," "You," or "User") and The Responsive Counselor, LLC ("Company," "we," "us," or "our"). This Agreement governs your access to and use of Your Counseling Compass, including the membership platform at member.yourcounselingcompass.com and all related content, resources, trainings, and community features (collectively, the "Program").
By registering for, accessing, or using the Program, you agree to be bound by the terms of this Agreement.
SECTION 1: GENERAL TERMS
Terms of Use, Privacy Policy, & Disclaimer
The Company's Terms of Use and Privacy Policy are hereby incorporated by reference into this Agreement. In the event of a conflict between those policies and this Agreement, this Agreement shall govern.
Nature of the Relationship
Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship. The Company provides access to informational and professional-development content only. Nothing in the Program is intended to replace your own professional and clinical judgment, or to override the policies, laws, or requirements of your school, district, employer, or state licensing board. You are responsible for evaluating and applying Program content in a manner consistent with those standards.
Intellectual Property & License
All content provided through the Program — including social stories, lesson plans, curricula, worksheets, task cards, video trainings, handouts, templates, graphics, logos, and the compilation thereof — is the exclusive property of the Company or its licensors and is protected by copyright and other intellectual property laws.
Each individual login/account represents a single-user license: one account = one person accessing the Program. You are granted a non-exclusive, non-transferable, revocable license to access and use Program materials solely for your own professional use.
You may print or reproduce Program materials solely for use with your own students or clients (and, where applicable, their families). Except for this limited use, you may not copy, reproduce, distribute, share, upload, post, sell, sublicense, modify, create derivative works from, or otherwise exploit any Program content, in whole or in part, without the Company's express written permission. This includes a prohibition on sharing your login credentials or Program materials with any other individual, including other counselors, therapists, or colleagues, even within the same school or district.
Schools and districts wishing to provide access to multiple staff members must purchase a corresponding number of individual licenses (or a designated team/district license where offered). Each license remains subject to the single-user restriction above.
Any violation of the Company's intellectual property rights shall result in immediate termination of access without refund.
Confidentiality
Your Counseling Compass includes a private membership community. You agree to respect the privacy and confidentiality of other members. Discussions, materials, and information shared within the community are confidential and may not be shared outside of the Program unless expressly permitted in writing.
Personal Responsibility
You acknowledge that your results from using the Program depend on numerous factors beyond the Company's control. The Company makes no guarantees regarding outcomes. You assume full responsibility for decisions or actions taken based on Program content, including their appropriateness for your specific students, clients, school, or district.
Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from your use of the Program.
Arbitration
Any dispute arising out of or related to this Agreement shall be resolved by binding arbitration in Nashville, Tennessee. You waive any right to class actions or class arbitration.
Indemnification
You agree to indemnify and hold harmless the Company from any claims, losses, damages, or expenses arising from your violation of this Agreement or misuse of Program materials.
Termination
The Company reserves the right to terminate access to the Program for violations of this Agreement without refund.
General Legal Provisions
Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding the Program.
Severability. If any provision is found invalid, the remaining provisions remain in full effect.
Waiver. Failure to enforce any provision does not constitute a waiver of that provision.
Force Majeure. The Company is not liable for delays caused by events beyond its reasonable control.
Effective Date. This Agreement is effective upon your first access to the Program.

SECTION 2: PROGRAM-SPECIFIC TERMS
Your Counseling Compass Membership
Access & Program Components
Members receive access to the private member portal, a private membership community, recorded video trainings, and downloadable resources, along with any additional bonuses offered at the time of enrollment.
License & Use
Access to Your Counseling Compass is licensed on a single-user basis as described in Section 1. Individual ("Annual") licenses are intended for one person's use. Schools and districts may purchase multiple licenses to provide access to more than one staff member; each license purchased remains a single-user account.
 Fees & Subscription Terms
Your Counseling Compass is offered via annual (or other periodic) subscription, or as otherwise described at checkout. Pricing, promotional offers, and renewal terms are outlined at the time of purchase and are subject to change.
Cancellation Policy
Members may cancel their subscription at any time directly from their account dashboard. Cancellations take effect at the end of the current billing cycle, and access continues through the remainder of the paid term.
Refund Policy
All purchases are final. The Company does not offer refunds.

We use commercially reasonable security measures to protect your information, including SSL encryption and reputable third-party vendors. However, no system can guarantee absolute security. Email communication is not considered a secure medium.
